SUSTAINABILITY GOVERNANCE Sustainability at DNeX is governed through a four-tier structure that spans all levels of the Group, ensuring that all actual and potential Sustainability issues are given full and fair consideration, and that appropriate action plans are developed and properly implemented. The governance structure is headed by the Board of Directors (“Board”), who are responsible for overseeing the Group’s Sustainability strategy and ensuring its alignment to the Group’s business processes, Key Performance Indicators and ambitions. The Board is assisted by the Risk, Governance and Sustainability Committee (“RGSC”), which is charged with monitoring and assessing Sustainability initiatives on an ongoing basis, and with making decisions relating to the execution of the Group’s Sustainability Framework. On a day-to-day basis, Sustainability initiatives are managed by the Group’s dedicated Sustainability Committee (“SC”), which is chaired by the Group Managing Director (“GMD”), and executed by Sustainability representatives appointed at each of the Group’s subsidiaries. The SC holds quarterly meetings with Sustainability representatives, providing an avenue for Sustainability issues to be raised and duly deliberated, leading to the formulation of recommendations which are in turn elevated to the RGSC. These meetings also function as means for updates on Sustainability (such as policy revisions, changes to objectives and updates to regulatory standards) to be cascaded to the subsidiary level. The Sustainability issues raised lead to detailed action plans, which are formulated by the SC and implemented by the Sustainability representatives of the relevant subsidiaries. Leveraging close collaboration and continuous communication, the SC and subsidiary representatives are able to ensure that progress against these plans is monitored and reported in detail to the SC, and then updated to the RGSC and the Board periodically. The Group Sustainability Unit, who also serves as the Secretariat provides an important counterbalance to the four parties, identifying opportunities for improvement to the Group’s Sustainability governance structure and its initiatives. The Secretariat also acts as a central coordinator for the Group’s Sustainability reporting, collating and communicating initiatives to keep stakeholders abreast of actions taken in a timely manner.
