DATASONIC GROUP BERHAD I ANNUAL REPORT 2020 (Registration No. 200801008472 (809759-X)) 53 CORPORATE GOVERNANCE OVERVIEW STATEMENT The Board of Directors (“the Board”) of Datasonic Group Berhad (“the Company”) is committed to upholding and inculcating good corporate governance practices, with the primary objectives of safeguarding stakeholders’ interests and enhancing shareholders’ value. The Board is pleased to present this overview statement on how the Company has applied each Practice as set out in the Malaysian Code on Corporate Governance 2017 (“MCCG 2017”). This statement is prepared in compliance with the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad (“Bursa Malaysia”) and it is to be read together with the Corporate Governance Report 2020 of the Company which is published on the Company’s website at www.datasonic.com.my . PRINCIPLE A - BOARD LEADERSHIP AND EFFECTIVENESS I. BOARD RESPONSIBILITIES The Board’s roles The Board is collectively responsible for the long-term success of the Group and deliver sustainable value to the shareholders and various stakeholders. The Board determines the Group’s vision and mission to guide and set the pace for its current operations and future development. The responsibilities of the Board include setting the Group’s strategic directions, providing the leadership to put them into effect and reporting to shareholders on their stewardship. The Board delegates authority to management, and monitor and evaluate the implementation of policies, strategies and business plans. Separation of positions of the Chairman and Managing Director The roles of the Chairman and the Managing Director are segregated and clearly defined. The Chairman who is an Independent Non-Executive Director is responsible for managing the Board’s business and acting as its facilitator and guide. The Chairman is also responsible for ensuring the integrity and effectiveness of the governance processes of the Board. The Managing Director is responsible for the day-to-daymanagement of the business to ensure that the business operates continuously in conformity with the implementation of Board’s policies, strategies and decisions. Dato’ Haji Razali bin Mohd Yusof was appointed as the new Managing Director of the Company on 1 February 2020 replacing Datuk Haji Hanifah bin Noordin who had retired on 31 January 2020. Qualified and competent Company Secretary The Board is supported by suitably qualified, experienced and competent Company Secretary. The Company Secretary plays an advisory role in supporting the Board on matters relating to the Company’s Constitution, Board’s policies and procedures, compliance with the Main Market Listing Requirements of Bursa Malaysia, Companies Act, 2016, corporate governance and other regulatory requirements.
