26 SECTION 04 : CORPORATE GOVERNANCE ROBUST AND ETHICAL FRAMEWORK SUSTAINABILITY GOVERNANCE The Board has ultimate responsibility for overseeing sustainability-related matters within the Group, including the key sustainability-related risks and opportunities relevant to its operations, as part of the Group’s overall strategy and risk management framework. These include climate change, human rights, occupational health and safety, environmental management, anti-corruption and supply chain conduct. To support the Board in fulfilling its responsibilities, sustainability-related matters are managed through the Group’s existing governance structure, comprising the Managing Director, Sustainability Working Group, and operational divisions, as summarised below. Governance Level Roles and Responsibilities Board of Directors (“Board”) • Provides overall oversight of the Group’s sustainability direction, priorities and disclosures. • Reviews key sustainability-related risks, opportunities and material matters as part of the Group’s broader governance and risk management processes. Audit, Risk Management and Sustainability Committee (“ARMSC”) • Assists the Board in overseeing sustainability-related matters, reporting processes and risk management activities. • Reviews material sustainability disclosures, key risks and progress of sustainability-related initiatives before escalation to the Board where material. Executive Committee (“EXCO”) / Managing Director • Oversees the implementation of sustainability-related initiatives, operational controls and management actions across the Group. • Reviews significant sustainability-related operational matters, risks and regulatory developments. Sustainability Working Group (“SWG”) • Coordinates sustainability reporting, data collection and sustainabilityrelated initiatives across the Group. • Supports monitoring of sustainability-related matters, action plans and internal reporting processes. Heads of Departments (“HODs”) / Heads of Business Units (“HBUs”) • Implements sustainability-related practices, controls and compliance measures within their respective functions and operations. • Monitors and escalates material operational sustainability matters where appropriate. Process Owners / Business Units • Implements day-to-day operational controls and sustainability-related practices within their respective activities. • Maintains relevant operational records and supports internal reporting processes. RISK MANAGEMENT ENRA integrates sustainability-related risks and opportunities into the Group’s overall risk management and oversight processes. These matters are identified, assessed and monitored alongside other operational, financial and compliance risks as part of ongoing business, project and management activities. Key sustainability-related matters considered by the Group include, where relevant, climate and weather-related impacts, occupational health and safety, labour practices and human rights, anti-corruption and ethical conduct, supply chain reliability, asset and operational reliability, data privacy and cybersecurity, as well as environmental matters such as pollution, waste, water, energy and emissions. This supports the Group’s ongoing consideration of sustainability-related risks and opportunities in its operations, project execution and business planning processes, taking into account evolving regulatory requirements and stakeholder expectations where relevant.
