Conduct of General Meetings The AGM serves as the principal platform for dialogue and engagement between the Company and its shareholders. The Company conducted its 33rd AGM on 25 September 2025 physically at Dewan Berjaya, Bukit Kiara Equestrian & Country Resort, Jalan Bukit Kiara, Off Jalan Damansara, 60000 Kuala Lumpur, as the Board considered a physical meeting to be more conducive for effective engagement and direct interaction with shareholders. At present, the Company has not adopted virtual or hybrid meeting arrangements to facilitate remote shareholder participation and electronic voting. Nevertheless, shareholders who were unable to attend the AGM in person were encouraged to appoint the Chairman of the Meeting or any other person(s) as their proxy(ies) to attend, participate, speak and vote on their behalf. Shareholders were also given the opportunity to submit questions to the Board in advance of the meeting. In line with Practice 13.1 of the MCCG 2021, the Notice of the 33rd AGM dated 30 July 2025 was issued more than 28 days prior to the meeting, providing shareholders with sufficient time to consider the resolutions to be tabled, make the necessary arrangements to attend the AGM, or appoint proxies to attend and vote on their behalf. Each item of special business set out in the notice of AGM was accompanied by an explanatory statement to facilitate shareholders’ understanding and evaluation of the proposed resolutions. During the 33rd AGM, shareholders were briefed on the voting procedures, and all resolutions were voted on by poll. The poll results were verified by the independent scrutineer, Commercial Quest Sdn. Bhd., and displayed during the meeting. The results of all resolutions passed at the 33rd AGM were subsequently announced to Bursa Securities via Bursa LINK on the same day. The minutes of the 33rd AGM, including the proceedings of the meeting, key matters raised by shareholders and the Company’s responses thereto, are available on the Company’s website at www.enra.my. KEY FOCUS AREAS AND FUTURE PROSPECTS The Board remains committed to upholding high standards of corporate governance and fostering a culture of integrity, accountability and ethical conduct throughout the Group. The Board will continue to review and enhance the Group’s corporate governance framework, policies and practices to ensure they remain effective, relevant and aligned with the Group’s evolving business needs, regulatory requirements and stakeholder expectations.
