BUSINESS ETHICS Consistent with being “Clean”, which is one of our core values, we take pride in upholding high standards of integrity and ethical conduct at all levels of the Group. Doing so is essential to maintain trust-based business relationships and safeguard our reputation in all the countries where we are present. Our approach to ethical business covers key issues including fraud, corruption, bribery and facilitation payments, conflicts of interest and our fiduciary responsibilities. These issues are managed by Group-wide frameworks and policies, which are already in place, and are overseen by the Board of Directors and the Board Committees of DNeX. Our Anti-Bribery and Anti-Corruption Framework and Policy (“ABAC Framework and Policy”) provides clear guidance for the detection and prevention of any actual or suspected incidents of bribery, corruption and facilitation payments, and is guided by the ISO 37001:2016 standard for Anti-Bribery Management Systems. The ABAC Framework and Policy also incorporates measures recommended in Section 17A of the Malaysian Anti-Corruption Commission Act 2009 introduced via Section 4 of the Malaysian Anti-Corruption Commission (Amendment) Act 2018 (collectively, “MACC Act”). In driving awareness of and compliance with the ABAC Framework and Policy, vendors, business partners, agents and customers of the Group are required to read and abide by the ABAC Framework and Policy upon their appointment, while employees and key stakeholders of the Group are provided with periodical training and awareness programmes on anti-bribery and anti-corruption (“ABAC”) and the regulatory requirements that pertain to the Group’s operations. During the year in review, five training sessions covering 127 employees were conducted with employees to increase awareness of the ABAC Framework and Policy and the requirements of the MACC Act. In practice, we maintain a zero-tolerance policy towards any unethical behaviour by our employees, vendors, business partners and other parties dealing with the Group. Furthermore, GOVERNANCE Good governance forms the cornerstone of sustainability as it ensures not only that organisations have all the mechanisms in place to ensure integrity and transparency, but also that these mechanisms are adhered to. DNeX has continuously strengthened our systemsof governance, ensuringcompliance with best practices as advocated by the Malaysian Code on Corporate Governance (“MCCG”) issued by the Securities Commission Malaysia, the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad, and relevant regulatory guidelines in all the countries where we operate.
