Our Net-Zero GHG emissions commitment guides us on our transition plans towards decarbonisation. We are equally committed to championing social values and practicing strong and ethical governance. By embedding our sustainability strategy into our business strategy, we are set on course towards ensuring that MISC remains a thriving business that delivers value to all stakeholders. GHG intensity targets Development of Internal Carbon Pricing Safety performance Talent performance Compliance and business ethics including cybersecurity breaches MISC’s Board of Directors (Board) sits at the apex of our sustainability governance structure and maintains strict oversight of the Group’s sustainability strategy and performance to manage our economic, environmental and social risks and opportunities. The Board is supported by multiple levels of working committees and teams, with clear lines of reporting and accountability in place. The Corporate Sustainability department under the Group HSSE division provides strategic management of material sustainability matters including, but not limited to, the formulation of sustainability strategies, priorities, and targets. OUR SUSTAINABILITY GOVERNANCE STRUCTURE The following ESG metrics are incorporated into operational performance indicators and strategic initiatives as part of our management remuneration scorecard for the year 2022: ESG-RELATED REMUNERATION • Board oversight on MISC sustainability performance • Provide endorsement and direction on MISC sustainability commitment BOARD SUSTAINABILITY GOVERNANCE STRUCTURE • Provide focused oversight on the effective implementation of MISC’s sustainability strategy •Reviews and evaluates sustainability-related reports and makes appropriate recommendations to the Board BOARD SUSTAINABILITY AND RISK COMMITTEE •Chaired by the President/Group CEO •Quarterly management stewardship on sustainability performance •Review and approve strategic sustainability framework and initiatives in line with MISC sustainability commitment MANAGEMENT COMMITTEE/HEALTH, SAFETY, SECURITY AND ENVIRONMENT COUNCIL •Tracks progress of sustainability strategic agenda •Engages external and internal stakeholders on sustainability matters • Responsible for monitoring and benchmarking group-wide sustainability performance CORPORATE SUSTAINABILITY DEPARTMENT •Championed by MC member/relevant HOD •Individual Business Units and Subsidiaries tasked to implement the sustainability initiatives •Plans, coordinates, implements and tracks targeted material topics CUSTODIAN WORKING GROUPS Sustainability Sustainability 87 86 MISC Berhad Integrated Annual Report 2022
