139 BOARD INVESTMENT COMMITTEE REPORT CORPORATE GOVERNANCE The Board Investment Committee (“BIC”) plays a pivotal role in evaluating all investment opportunities and to make recommendations to the board with regard thereto. The responsibilities include reviewing, assessing and deciding on the escalation of proposals relating to asset investment (acquisition and disposal), asset management and fund-raising exercises to be undertaken by the REIT to the Board and Trustee for approval. COMPOSITION In line with the recommendation of Chapter 6 of the Guidelines on Real Estate Investment Trusts of Securities Commission Malaysia, the composition of the BIC is as follows: Members 1. Shamsul Anuar bin Abdul Majid Chairman/Non-Independent Non-Executive Director (Appointed as Chairman w.e.f. 5 January 2024) 2. Abdullah bin Abu Samah Independent Non-Executive Director 4. Ng Yan Chuan Non-Independent Non-Executive Director (Appointed w.e.f. 4 September 2023) 3. Datuk Hashim bin Wahir Independent Non-Executive Director (Appointed w.e.f. 5 January 2024) 5. Dato’ Wan Kamaruzaman bin Wan Ahmad Independent Non-Executive Director (Resigned w.e.f. 5 January 2024) Secretaries 1. Nuraliza binti Abd Rahman 2. Rohaya binti Jaafar The BIC members are appointed by the Board and consist of not less than three members, all of whom shall be non-executive directors with a majority of them being independent directors. The Board elects a chairman who is an independent director and who is not the Chairman of the Board. The composition of the BIC shall adhere to the recommendation as per the Chapter 6 of the Guideline on Real Estate Investment Trusts. The Board, via the Board Nomination and Remuneration Committee (“BNRC”), annually reviews the terms of office and performance of the BIC and its members through an effectiveness evaluation exercise. The BNRC assessed the BIC’s performance for the financial year ended 31 December 2023 and was satisfied that the BIC and its members have discharged their functions, duties, and responsibilities in accordance with the BIC’s Terms of Reference.
