We refer to the announcements made on 10 April 2026 and 15 June 2026 in relation to the Proposals ("Announcements"). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, Apex Securities wishes to announce that all the conditions precedent as set out in the SPA in respect of the Acquisition have been fulfilled on 30 June 2026. Accordingly, the SPA has become unconditional.
