This announcement is dated 13 February 2026.

Reference is made to the Company’s first announcement dated 14 July 2025 in relation to the Proposals (“First Announcement”). Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the First Announcement.

On behalf of the Board, Malacca Securities wishes to announce that Bursa Securities had vide its letter dated 12 February 2026 approved the following:

(i) Listing and quotation of up to 89,903,000 Placement Shares to be issued pursuant to the Proposed Private Placement;

(ii) Admission to the Official List and listing and quotation of up to 99,940,500 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants; and

(iii) Listing and quotation of up to 99,940,500 new Flexidynamic Shares to be issued pursuant to the exercise of the Warrants.

The approval granted by Bursa Securities for the Proposed Private Placement and Proposed Bonus Issue of Warrants are subject to the following conditions:

(i) Flexidynamic and Malacca Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement and Proposed Bonus Issue of Warrants.

(ii) Flexidynamic to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders in a general meeting approving the Proposals.

(iii) Flexidynamic and Malacca Securities to inform Bursa Securities upon the completion of the Proposed Private Placement and Proposed Bonus Issue of Warrants.

(iv) Flexidynamic to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement and Proposed Bonus Issue of Warrants are completed.

(v) Flexidynamic to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
