PETRONAS Gas Berhad (“PGB” or “the Company”) is pleased to announce that PGB’s  subsidiary, Pengerang LNG (Two) Sdn. Bhd. (“PLNG2”) has on 19 December 2025 entered into a Jetty Usage Supplementary Agreement - Amendment No. 5 with Pengerang Terminals (Two) Sdn. Bhd. (“PT2SB”), a joint venture between PRPC Utilities and Facilities Sdn. Bhd. (“PRPC UF”), Dialog Equity (Two) Sdn. Bhd., Vopak Terminal Pengerang BV and Permodalan Darul Ta’zim Sdn. Bhd., whereby PRPC UF is a wholly-owned subsidiary of Petroliam Nasional Berhad, to effect a one-off settlement for the prepayment of annual fixed charges under the Jetty Usage Agreement dated 28 February 2017 (“JUA”), for the provision of jetty facilities services at the LNG Regasification Terminal Pengerang, to be fully satisfied in cash ("Prepayment Transaction").

As part of PGB Group’s foreign exchange risk mitigation strategy, PLNG2 has reached an agreement with PT2SB to undertake the Prepayment Transaction which entails the early settlement of the agreed portion the annual fixed charges for the remaining service period of the JUA from the period of 1st January 2026 until 2nd March 2044 or any other date as the Parties may agree at an agreed amount of up to USD173.64 million, representing the residual contract value of PLNG2’s remaining annual fixed charges payment obligations.

The jetty facilities services will continue to be utilised by PLNG2 until the end of the contracted period and the operating portion of the JUA will remain unaffected.

The Prepayment Transaction will reduce PGB Group’s foreign currency risk exposure for the remaining JUA’s period.

The Prepayment Transaction is not subject to the approval of the shareholders of the Company or any relevant government authorities.
