Reference is made to the Executives' Share Scheme ("ESS") of Binastra Corporation Berhad ("Binastra" or "Company") comprising the executives' share option scheme ("ESOS") and the restricted share grant plan ("RSG"), which was approved by the shareholders of Binastra on 7 March 2024.

Pursuant to paragraph 9.19 (51) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Binastra wishes to announce that the Company has on 5 December 2025 offered its 2nd offer of ESOS options to the eligible employees of Binastra and its subsidiaries ("Offer") under the ESS. The details of the Offer are as follows:-

1. Date of Offer of the ESOS options : 5 December 2025
2. Exercise price of each ESOS option offered : RM1.89, represent a discount of 10% of approximately RM0.21 computed based on the 5-day weighted average market price of Binastra’s ordinary shares up to and including 5 December 2025 of RM2.0947.
3. Total number of ESOS options offered : 8,015,000
4. Closing market price of Binastra's ordinary shares on the date of Offer : RM2.11
5. Total number of ESOS options offered to each of the Executive Directors of Binastra and their Alternate Directors, if any : Nil
6. Vesting period of the ESOS options offered : 2 years, commencing from the vesting date of 12 January 2026.

Each ESOS option shall be exercisable into one (1) new ordinary share of Binastra, fully issued and paid-up.
