Unless otherwise stated, the terms used in this announcement shall have the same meaning as defined in the Company’s announcements dated 14 July 2025, 17 July 2025 and 18 July 2025 (“Announcements”).

Subsequent to the Announcements, the Board of Directors of RAMSSOL wishes to announce that SAGTEC has failed to obtain the approval of its Board of Directors to proceed with the Proposed Acquisition of 40% equity interest of Rider Gate ("Proposed Share Acquisition").

Given SAGTEC's failure to obtain the approval of its Board of Directors, SAGTEC has purported to terminate the Proposed Share Acquisition as SAGTEC is unable to satisfy the condition precedent of the SSA.

The Board of Directors of RAMSSOL is seeking legal advice in respect of the termination of the SSA by SAGTEC.
