Reference is made to the Company’s earlier announcements dated 19 June 2025 and 24 June 2025 (“Announcements”) in relation to the Proposed Acquisitions. Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Announcements.

The Company wishes to announce that the SSAs have become unconditional following the fulfilment of the conditions precedents stipulated in the SSAs on 1 August 2025. On even date, the Proposed Acquisitions have also been completed in accordance to the terms and conditions of the SSAs.
