(Unless otherwise defined, all abbreviations and definitions used herein shall have the same meanings as the words and expressions defined in the Company’s announcements dated 30 August 2024, 22 November 2024, 25 November 2024 and 31 December 2024 in relation to, inter-alia, the Proposed Vietnam Acquisitions (“Announcements”)) 

On behalf of the Board, Maybank IB wishes to announce that the parties to the SSPA in relation to the Proposed Vietnam Acquisitions (“VN SSPA”) (“Parties”) have mutually agreed to extend the Cut-Off Date for the VN SSPA to 18 September 2025, being a date falling 300 days from the date of the VN SSPA, or such other date as may be agreed upon between the Parties as the last date by which the conditions precedent of the VN SSPA shall be fulfilled, vide a letter of extension dated 23 May 2025.  Save for the extension, all other terms of the VN SSPA remain unchanged and are in full force and effect.

In addition, on behalf of the Board, Maybank IB wishes to announce certain clarifications in relation to Section 2.3(i) of the Company’s announcement dated 22 November 2024 in respect of the basis and justification for the Purchase Consideration for the Proposed Vietnam Acquisitions.
