For consistency, the abbreviation and definitions in this announcement are the same as those defined in the announcement dated 15 November 2023 (GA1-15112023-00024).

The Board of Directors of Bina Darulaman Berhad (BDB) wishes to inform on the progress of the abovementioned MoU as follows:

a. The MoU have been extended until 30 May 2025;

b. BDB and Energise have executed a Term Sheet (TS) on 7 January 2025;

c. The TS shall be binding between both parties and shall remain supplemental to a definitive joint venture cum shareholders agreement (JVSA); and

d. The definitive JVSA is to be executed by both parties within the MoU extended timeline.

The Company will provide regular updates on the progress of the MoU.
