We refer to the announcement dated 12 July 2024 in relation to the Proposed Acquisition (“previous announcement”). Unless otherwise stated, the definitions set out in the previous announcement shall apply herein.

The Board of Directors of RGTECH wishes to announce that RGTECH had, on 9 August 2024, mutually agreed to extend the last date of signing of the SPA from 11 August 2024 (i.e. within 30 days from the signing of the Term Sheet) to a further period of up to 10 September 2024 via a supplemental letter dated on even date (“Extension of Time”). The Extension of Time was sought to accord additional time for both Parties to finalise the terms of the SPA.

Save for the above, all other terms and conditions in the Term Sheet remains valid, unchanged, in full force, and the details set out in the previous announcement remains valid.
