We refer to the announcement dated 22 September 2023 and circular dated 7 November 2023 in relation to the Proposals. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcement and circular.

On behalf of the Board, AmInvestment Bank wishes to announce that the Ajiya SSAs have been rendered unconditional on 22 November 2023 following the fulfilment of all the conditions precedents as set out in the Ajiya SSAs. In accordance with the terms of the Ajiya SSAs, the Proposed Ajiya Acquisition has been completed on even date.

Accordingly, AmInvestment Bank had, on behalf of Chin Hin, served the Notice to the Board of Directors of Ajiya in accordance with Paragraph 9.10(1) of the Rules. A copy of the Notice is attached herewith for your information.
