On behalf of the Board of Directors of RGTECH (“Board”), UOB Kay Hian Securities (M) Sdn Bhd (“UOBKH”) wishes to announce that RGTECH (“Purchaser”) had on 2 May 2023, entered into a conditional share purchase agreement (“SPA”) with Jejaka 7 Capital Sdn Bhd (“Jejaka” or the “Vendor”) to acquire the remaining 200,000 ordinary shares in GFS not already owned by RGTECH, representing 20% equity interest in GFS for a total purchase consideration of RM12,605,000 which will be satisfied entirely by cash, subject to the terms and conditions contained in the SPA ("Proposed Acquisition").

Further details of the Proposed Acquisition are set out in the attachment enclosed.
