PRIVATE PLACEMENT OF UP TO 30,608,821 NEW ORDINARY SHARES IN ENCORP REPRESENTING UP TO 10% OF THE TOTAL NUMBER OF ISSUED SHARES OF ENCORP (EXCLUDING TREASURY SHARES) ("PLACEMENT")

(Unless otherwise stated, all abbreviations used herein shall have the same meaning as those mentioned in the Company’s announcement dated 23 September 2020 in relation to the Placement)

Reference is made to the announcements dated 23 September 2020, 24 September 2020 and 28 September 2020 in relation to the Placement.

On behalf of the Board, MIDF Investment wishes to announce that Bursa Securities has vide its letter dated 1 October 2020, resolved to approve the listing of and quotation for up to 30,608,821 new ordinary shares in Encorp to be issued pursuant to the Placement, subject to the following conditions:

  1. Encorp and MIDF Investment must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Placement;
  2. Encorp and MIDF Investment to inform Bursa Securities upon the completion of the Placement; and
  3. Encorp and MIDF Investment to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Placement is completed.
