The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to the earlier announcements dated 23 January 2020 and 18 March 2020.

On behalf of the Board, UOBKH wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 9 April 2020, which was received today, resolved to approve the listing and quotation of the following:-

i. up to 205,265,757 Placement Shares I to be issued pursuant to the Proposed Private Placement I; and

ii. up to 451,584,666 Placement Shares II to be issued pursuant to the Proposed Private Placement II.

The approval granted by Bursa Securities for the above is subject to the following conditions:-

i. AMRB and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposals;

ii. AMRB and UOBKH to inform Bursa Securities upon the completion of the Proposals;

iii. AMRB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposals are completed;

iv. AMRB to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders in general meetings approving the Proposed Private Placement II;

v. AMRB to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to the Companies Act, 2016 before the listing of the Placement Shares I, if relevant; and

vi. AMRB to furnish Bursa Securities with details on of the placees in accordance with Paragraph 6.15 of the Listing Requirements as soon as practicable before the listing of the new shares to be issued pursuant to the Proposals.
