ENCORP BERHAD ("ENCORP" OR "THE COMPANY")

(1) PROPOSED SHAREHOLDERS' MANDATE FOR RECURRENT RELATED PARTY TRANSACTIONS OF A REVENUE OR TRADING NATURE; 

(2) PROPOSED RENEWAL OF AUTHORITY FOR SHARE BUY-BACK; AND

(3) PROPOSED AMENDMENTS TO THE CONSTITUTION OF THE COMPANY.

The Board of Directors of Encorp wishes to announce that the Company will be seeking its shareholders' approval for the following proposals at the forthcoming Annual General Meeting of the Company:-

(1) Proposed Shareholders' Mandate for Recurrent Related Party Transactions of a Revenue or Trading Nature ("Proposed RRPT Mandate");

(2) Proposed Renewal of Authority for Share Buy-Back ("Proposed Renewal"); and

(3) Proposed Amendments to the Constitution of the Company ("Proposed Amendments to Constitution").

A circular in relation to the Proposed RRPT Mandate, a statement in relation to the Proposed Renewal and the details of the Proposed Amendments to Constitution will be despatched to the shareholders together with the Annual Report in due course.
