Matters of significant concern raised by the Internal and External Auditors, if any, were duly conveyed to and addressed by the ARMC and the Board as appropriate. Minutes of each ARMC meeting were recorded and tabled for confirmation and adoption at the following ARMC meeting and subsequently presented to the Board for notation. Minutes recording pertinent deliberations, decisions and resolutions are maintained by the Group’s Company Secretary. Information on training programmes and seminars attended by each ARMC member during the financial year is set out in the Corporate Governance Overview Statement under the section on Directors' Training. The ARMC meets at least four times a year on a quarterly basis and will convene additional meetings as its roles and responsibilities require. The ARMC may invite any member of Management or any employee of the Group to attend its meetings as necessary, and has access to relevant independent professional advice, information and the services of the Group’s Company Secretary in carrying out its duties and functions. The ARMC Chairman reports to the Board on a quarterly basis on all significant matters discussed and resolved at ARMC meetings. This covers, among others, recommendations to approve the quarterly Management Reports and Accounts, the quarterly consolidated financial results released to Bursa Malaysia, the annual financial statements, key governance disclosure statements in the Annual Report and significant audit issues raised by the External and Internal Auditors, as applicable. The ARMC continuously reviews its Terms of Reference to reflect updated internal processes and current regulatory requirements. The Terms of Reference of the ARMC are available on the Group's website at www.nexg.com.my. Reviewed the audited financial statements of NexG Berhad comprising the statements of financial position as at 31 March 2026 of the Group and of the Company, and the statements of profit or loss and other comprehensive income, statements of changes in equity and statements of cash flows of the Group and of the Company, notes to the financial statements, a summary of significant accounting policies and the related statutory auditors' report, prior to submission to the Board of Directors for consideration and approval, after ensuring that: The audited financial statements were drawn up in accordance with the applicable Malaysian Financial Reporting Standards, International Financial Reporting Standards and the requirements of the Companies Act 2016 in Malaysia; Key audit matters are properly presented in the auditors' report based on the auditors' professional judgement as to which matters were most significant in the audit of the financial statements of the Group and of the Company for the current financial year; The audited annual financial statements do not contain any material misstatement of transactions, and the auditors are in a position to issue an unqualified opinion on the truth and fairness of the financial performance and financial position of the Company and of the Group. During the financial year, the ARMC fully discharged its functions and duties as set out in its Terms of Reference. A summary of the key activities undertaken is set out below.
