BOARD COMPOSITION (CONT'D) Corporate Governance OVERVIEW STATEMENT (Cont’d) Appointment of Board member (Cont'd) Chairman of NRC Directors’ Retirement and Re-election On 16 October 2025 and 13 March 2026, in the absence of a functioning NRC due to the resignation of all NRC members, the Board has undertaken the role of the NRC for the due process of reviewing and assessing the candidates for the appointment as Board members and their roles as Non-Independent Non-Executive Directors or Independent NonExecutive Directors of the Company. The Board will consider sourcing from Directors’ registry or the use of independent search firms to identify the most suitable candidates for future Board position. In October 2025, Datuk Zainal Abidin bin Abu Hassan resigned as the Chairman of the NRC. Subsequently, Dato’ Ibrahim bin Abdullah was appointed as the Chairman of NRC. In November 2025, Dato’ Ibrahim bin Abdullah resigned as the Chairman of the NRC and Mr Aswath a/l Ramakrishnan was appointed as the Chairman of NRC. Subsequently in March 2026, Mr Aswath a/l Ramakrishnan resigned as the Chairman of NRC and Encik Mohd Azmi bin Mat Nayan was appointed as the new Chairman of NRC. In April 2026, the Company Secretaries facilitated the NRC in carrying out the annual evaluation of the effectiveness of the Board, Board Committees and individual Directors. In May 2026, the NRC reviewed and assessed the effectiveness of the Board, the Board Committees and the contributions of the Directors and the report was then presented to the Board. The results indicated that the Board and Board Committees have been effective in discharging their functions, roles and responsibilities. The comments given by the Board members on the areas for continuous improvement were duly noted by the Board. The results of the evaluation exercise will form the basis of recommending for the re-election of Directors. In May 2026, the NRC assessed the performance, contributions, independence, fitness and proprietary of each Director who is due to retire and eligible to stand for re-election at the Eighteenth AGM, taking into consideration the results of the evaluation on the effectiveness of the Board, Board Committees and Directors’ self-assessment conducted for the financial year 2026, time commitment in discharging their roles and responsibilities, including attendance at Board or Board Committees meetings, briefings and site visitations; participation in continuing training programmes, contribution to the Board’s deliberation through their skills, knowledge, expertise and experience. In May 2026, the NRC also conducted the fit and proper assessment on all the Directors who are seeking for re-election at the Eighteenth AGM of the Company. The Directors concerned have submitted their fit and proper declarations to the Company prior to the proposed re-election as Directors. Based on the outcome of the self-independent assessment, the NRC was satisfied that the Independent Directors, namely, Tuan Lt. Col. (R) Khairudin bin Dahlan, Tuan Lt. Col. (R) Roseli bin Abdul Gani, Dato’ Ts. Dr. Haji Amirudin bin Abdul Wahab, Dato’ Dr. Anas bin Alam Faizli, Encik Mohd Azmi bin Mat Nayan, Ms Michelle Yong Voon Sze and Dato’ Ramli bin Din have complied with the independence criteria as set out in the MMLR of Bursa Malaysia and continue to bring independent and objective judgement to the Board deliberations. 107
