BOARD COMPOSITION Corporate Governance OVERVIEW STATEMENT (Cont’d) The Company is committed to operate in a sustainable manner, as this will not only create value to the Company, but also to our employees, business communities and society surrounding us. The Company continued to recognise sustainability as strategic priority across the Group and build on the progress the Company has achieved thus far. The SC was established to oversee the Management’s effective implementation of sustainability initiative and strategies across the Group. To ensure that the effective implementation of the Company’s sustainability strategies and plans, the ARMC is also responsible in overseeing the Group’s various risks including sustainability and climate-related risks. During the year under review, the SC reviewed the findings of the Gap Analysis and Recommendations Report, which indicated that the Company is performing well in its sustainability efforts, having achieved an environmental, social and governance (“ESG”) score of 3.6 out of 5 stars. The SC also reviewed the rooftop solar photovoltaic installation proposal at the Group’s factories to reduce electricity cost and support sustainability goals. In May 2026, the NRC also undertook an evaluation of the performance of the Board in addressing the Company’s material sustainability risks and opportunities. The Sustainability Policy was established for the purpose of communicating to employees, customers and other stakeholders on the Company’s efforts and resources in managing its material ESG matters and to create long term value for the stakeholders and improve our long-term performance and resilience. The details of the Group’s sustainability strategies, priorities and performance against targets are set out separately in the Sustainability Statement of this Annual Report. During the financial year under review, there have been several changes to the Board composition as follows:- - Resignation of Encik Azrul bin Yahaya as Non-Independent Non-Executive Director on 28 May 2025; - Resignation of Ms Michelle Yong Voon Sze as Independent Non-Executive Director on 28 August 2025; - Appointment of Dato’ Sri Mohd Sopiyan bin Mohd Rashdi as Independent Non-Executive Director on 19 September 2025 and his resignation on 15 October 2025; - Resignation of Tan Sri Dato’ Seri Mohd Khairul Adib bin Abd Rahman as Executive Deputy Chairman on 14 October 2025; - Resignation of Datuk Puvanesan a/l Subenthiran as Executive Director on 14 October 2025; - Resignation of Datuk Zainal Abidin bin Abu Hassan as Independent Non-Executive Director on 15 October 2025; - Appointment of Encik Syed Farid bin Syed Ahmad Al-Attas and Encik Mohd Zafil bin Ibrahim as Non- Independent Non-Executive Directors on 16 October 2025 and their resignation on 11 March 2026; - Appointment of Encik Badrul Hisham bin Abdul Aziz and Encik Mohamed Fairuz bin Mohamed Fauzy as Independent Non-Executive Directors on 16 October 2025 and their resignation on 11 March 2026; - Resignation of Dato' Che Nazli binti Jaapar as Independent Non-Executive Director on 18 November 2025; Board Composition and Independent Directors on the Board 102
