ANNUAL REPORT 2019 81 C. INTEGRITY IN CORPORATE REPORTING AND MEANINGFUL RELATIONSHIP WITH STAKEHOLDERS I. Communication with stakeholders The Board believes that stakeholders’ communication is an essential requirement of the Group’s sustainability. In view thereof, stakeholders are informed of all material business events and risks of the Group in a factual, timely and widely available manner. The Board has formalised a Corporate Disclosure Policy and Procedure not only to comply with the discourse requirements as stipulated in the MMLR of Bursa Securities, but also sets out the persons authorised and responsible to approve and disclose material information to all stakeholders. The Board recognises the importance of facilitating effective two-way communication with investors and analysts to provide a greater understanding of the Group’s vision, strategies, developments and financial prospects. A variety of engagement initiatives including direct meetings and dialogues with stakeholders are constantly conducted to enhance mutual understanding. The Group’s financial performance, major corporate developments and other relevant information are promptly disseminated to shareholders and investors via announcements of its quarterly results, annual report, corporate announcements to Bursa Securities and press conferences. It is the Group’s practice that any material information for public announcement, including annual, quarterly financial statements, press releases, and presentation to investors, analysts and media are factual and reviewed internally before issuance to ensure accuracy and is expressed in a clear and objective manner. The Group’s corporate website includes a dedicated Investor Relations section which provides all relevant information on the Group, including announcements to Bursa Securities, share price information as well as the corporate and governance structure of the Group. Stakeholders are also able to subscribe to e-mail alerts from the Group via the Investor Relations page. II. Conduct of General Meetings The AGM is the principal forum for dialogue with shareholders, allowing shareholders to review the Group’s performance via the Group’s annual report and pose questions to the Board for clarification. To ensure shareholders have sufficient time to go through the annual report, it is circulated at least twenty-eight (28) clear days before the date of the AGM. Shareholders are encouraged to vote on the proposed motions by appointing a proxy in the event they are unable to attend the meeting. During the AGM, a presentation is shown to the shareholders on the Group’s performance and major activities carried out during the financial period under review. The Board also encourages participation from shareholders by having a question and answer session during the AGM in the presence of the Directors (inclusive of the Chairman of the AC, RMC, NC and RC) to provide meaningful response to questions raised by the shareholders. In line with the MMLR of Bursa Securities, the Company has implemented and will continue to implement poll voting for all proposed resolutions set out in the notice of any general meeting.
