SECTION 3: OUR GOVERNANCE 132 PRINCIPLE C INTEGRITY IN CORPORATE REPORTING AND MEANINGFUL RELATIONSHIP WITH STAKEHOLDERS CORPORATE GOVERNANCE OVERVIEW STATEMENT FINANCIAL REPORTING AND DISCLOSURE The Board is committed to providing a fair and unbiased assessment of the Group’s financial status and prospects through various financial reports, including quarterly financial results, audited financial statements, the Annual Report and other published reports. We prioritise timely disclosures and our financial statements strictly adhere to the stipulations of Malaysian Financial Reporting Standards (“MFRS“), International Financial Reporting Standards (“IFRS“), MMLR of Bursa Malaysia, Companies Act 2016 and applicable laws and regulations in the regions where the Group operates. To ensure accuracy and fairness in our financial reporting, the ARMC conducts a thorough review of the audited financial statements and quarterly reports, working closely with the Company’s external auditors. We recognise our responsibility to provide shareholders, investors and regulatory authorities with a comprehensive and transparent understanding of our financial performance. STATEMENT BY THE BOARD The Board has extensively considered, examined and endorsed this Statement. With the exceptions disclosed, the Board is content that the Group has fulfilled all obligations outlined in the relevant sections of the MMLR of Bursa Malaysia, Companies Act 2016, MCCG 2021, Bursa Malaysia’s Corporate Governance Guide and other applicable laws and regulations during the the financial year ended 31 December 2023. The Board affirms that, for the Reporting Period, the principles of good corporate governance outlined in the MCCG 2021 have been consistently applied. There is a commitment from the Board to foster a responsible organisation and there will be ongoing reviews and enhancements to the Group’s corporate governance practices to sustain a robust and sensible framework for effective governance in the best interests of shareholders and stakeholders. This statement was issued in accordance with a resolution of the Board, approved on 17 April 2024. GENERAL MEETINGS General meetings stand as the principal platform for direct interaction between the Company, represented by the Board and Senior Management as well as its shareholders, serving as a pivotal forum for meaningful dialogue. The Executive Chairman, Board Committee chairpersons, Board Committee members, the Group CEO and the Senior Management actively participate in the upcoming AGM to ensure robust engagement and effective communication with shareholders. In accordance with the Board Charter, the Board is responsible for ensuring the efficient conduct of general meetings, recognising their significance in shareholder communication. This entails providing comprehensive and timely information to shareholders and encouraging their active involvement. The Group embraces technology to enhance participation, enabling shareholders to engage remotely and to cast electronic votes. The upcoming AGM will be a fully virtual meeting via live streaming, featuring patented technology known for its accuracy and security, allowing shareholders to view proceedings, post questions and receive answers. Detailed information about the fully virtual AGM, including proceedings and procedures, is outlined in Practice 13 of the CG Report 2023. The Group underscores transparency by publishing the complete minutes of the AGM, encompassing the Company’s responses to the minority shareholders watch group’s queries and the list of questions posed by shareholders, along with the Company’s responses, on the corporate website at www.mstgolfgroup.com.
