125 ANNUAL REPORT 2023 MST GOLF GROUP BERHAD NOMINATION COMMITTEE REPORT The NC, primarily composed of INEDs, plays a vital role in overseeing the Board’s composition and ensuring its effectiveness. The Board expresses confidence in the current NC composition, which, with its diverse skills and experiences, is effectively in line with the Fit & Proper Policy. Director appointments are based on character, integrity, competency, skills and commitment. The Board Charter explicitly prohibits the nomination of active political persons as Directors. The Group conducts background checks on criminal records, integrity and solvency status before proposing appointments to the Board for approval. The BEA framework covering the Board, Board Committees and individual Directors, adheres to the guidelines of the MMLR of Bursa Malaysia. Comprehensive details of the BEA process are available on pages 122 to 123 of this report. Summary of Work During the financial year ended 31 December 2023, the NC held one meeting on 22 November 2023 and had considered the following principal matters in discharging its responsibilities: • Reviewed the Board Effectiveness Assessment framework which consists of evaluation forms and questionnaires that evaluate the effectiveness of the Board, Board Committees and individual Directors. • Recommended the Board Effectiveness Assessment framework to the Board for approval. This assessment aimed to gauge the extent to which the NC adhered to its terms of reference, encompassing considerations such as the term of office and performance of the NC and its individual members. It is important to note that this performance assessment constitutes an integral part of the annual BEA, focusing on evaluating the effectiveness of Board Committees. The NC Report was made in accordance with a resolution of the Board approved on 17 April 2024.
