SECTION 3: OUR GOVERNANCE 120 CORPORATE GOVERNANCE OVERVIEW STATEMENT ROLES AND RESPONSIBILITIES Executive Chairman Leads the Board in critically evaluating and supporting the Company’s strategy and its implementation. He ensures active participation of the entire Board in strategy development, fostering transparency, debate and challenge. The Executive Chairman oversees the Company’s adherence to its purpose, values and culture. Facilitating effective engagement with shareholders and stakeholders, he prioritises understanding stakeholders’ views. Non-Executive Directors Offer external perspective and constructive challenges, crucial for effective decision-making. They monitor the Group’s strategy within its risk management framework, ensuring its alignment with objectives. Additionally, they review the integrity of financial reporting, overseeing the robustness of financial controls and risk management systems. Furthermore, the role includes determining appropriate levels of remuneration for Senior Management, aligning them with corporate goals and industry standards. Group CEO Leads the adaptation and execution of the Group’s strategy and commercial objectives in response to evolving market conditions and risks. Drives and optimises operational and financial performances across the organisation. Maintains open communication with the Executive Chairman and the Board, keeping them informed about important strategic issues. Ensures the Group’s business adheres to the highest governance standards, aligning with the Group’s core values. Fosters effective communication channels with the Board, employees and other stakeholders to promote transparency and engagement. The Group CEO also leads the formulation and execution of strategy, operational plans, policies and procedures. Oversees the monitoring of operational and financial performance, as well as identifies and evaluates risks and opportunities, ensures effective employee resourcing and development strategies are in place. Company Secretary Serves as a qualified company secretary providing advisory support to the Board. Monitors corporate governance developments and aids the Board in applying best practices to align them with stakeholders’ needs and expectations. PRINCIPLE A BOARD LEADERSHIP AND EFFECTIVENESS Executive Directors Oversee the day-to-day operations of the organisation, including implementing strategic plans, managing resources and achieving objectives set by the Board. They lead other members of the management team, providing direction, guidance and support to ensure the Group meets its goals efficiently and effectively. They also act as a liaison between the Board and the Board’s management, providing regular updates on performance and addressing any concerns or issues that arise. Additionally, Executive Directors play key roles in representing the Group externally, building relationships with stakeholders and promoting the Group’s interests and values.
