PRINCIPLE 1: ESTABLISH CLEAR ROLES AND RESPONSIBILITIES (continued) Gender Diversity Policy The Board acknowledges the importance of diversity in its membership, including gender, ethnicity and age, and strives to maintain the right balance for effective functioning of the Board. The Board is mindful of the recommendation of the Code to have at least 30% women decision-makers in the corporate sector by year 2016. However, the Board has not established the policy on gender diversity. Nevertheless, the Nomination Committee would take steps to ensure suitable woman candidates are sought for appointment as the Board encourages a dynamic and diverse composition by nurturing suitable and potential candidates equipped with the competency, skills, experience, character, time commitment, integrity and other qualities in meeting the future needs of the Company so as to ensure balances gender and skills diversity, ethnicity and age within the Group. Independence Professional Advise The Directors of the Group are entitled to take independent professional advise at the expense of the Company, in furtherance of their duties. Access To information All Directors are provided with the performance and progress reports on a timely basis prior to the scheduled Board meetings. All Board papers are distributed seven (7) days in advance to ensure Directors are well informed and have the opportunity to seek additional information, and are able to obtain further clarification from the Company Secretary, Chief Financial Officer and Senior Management, should such a need arise. The Company Secretary always supports the Board in ensuring adherence to Board policies and procedures. Where necessary, the services of other external consultants will be arranged to brief and address any concern of the Directors. PRINCIPLE 2: STRENGTHEN COMPOSITION The Board should have transparent policies and procedures that will assist in the selection of Board members. The Board should comprise of members who are able to bring value to Board deliberations. Executive Committee The Executive Committee meets regularly to review the operations of the Group’s operating divisions. The Chief Financial Officer, Head of Property Development, Company Secretary and relevant departmental heads are invited to attend the Executive Committee meeting.
