The Group’s governance framework ensures that sustainability principles are embedded within strategy formulation, decision-making, and operational execution. The Board sits at the apex of this governance structure, maintaining oversight of the Group’s sustainability direction and performance. The BSRC supports the Board by providing focused oversight on the implementation and monitoring of MISC’s sustainability strategy, ensuring alignment with the Group’s vision and objectives. In carrying out its mandate, the BSRC oversees the frameworks and processes for managing sustainability risks and opportunities (SRO), including climate-related risks and opportunities (CRO). This includes oversight of the identification, prioritisation, and target-setting of these areas, as well as periodic reviews of MISC’s performance and progress to ensure alignment with strategic objectives. Supporting the Board and the BSRC are the ELT and the Sustainability & Decarbonisation Department under the Group Strategy & Sustainability Division, which are responsible for executing sustainability initiatives, tracking progress, and driving continuous improvement across the organisation. ETHICS AND COMPLIANCE MISC upholds the highest standards of ethical conduct through its Code of Conduct and Business Ethics (CoBE), which is applicable to Directors, employees, and third parties performing work or services for and on behalf of the Company. The CoBE defines the expected standards of integrity and professionalism and serves as a guide for responsible behaviour in all business dealings. The CoBE is supported by key policies, including the Whistleblowing Policy, No Gift Policy, and the Anti-Bribery and Corruption Manual, which collectively reinforce the Group’s zero-tolerance approach towards unethical practices. To further strengthen compliance, MISC has established a suite of policies governing Critical Legal Areas (CLA), namely: A Whistleblowing structure to review and manage any whistleblowing reports is in place, which includes a whistleblowing policy and management process. The Board, through the BAC, reviews the adequacy and effectiveness of the established whistleblowing management policy and procedure on a quarterly basis. At the initiation of the MISC Board Chairman, a sharing session pertaining to an organisation’s experience in recovering from a cyberattack was conducted to provide the Board with practical insights drawn from a real cyber incident. The session focused on governance oversight, key control measures, incident response protocols and critical lessons learnt, with the objective of enhancing the Board’s situational awareness and oversight of cybersecurity risks.
