corporate governance overview statement To carry out the assessment, the Directors are provided with a quesঞonnaire to complete and the results are then tabulated by the Secretary and presented to the NC for review and recommendaঞon to the Board. The individual Directors each undertook self-assessment of their individual performance as well as overall assessment of the Board during the financial year based on the criteria as prescribed under the MMLR. An annual Board Evaluaঞon Exercise is undertaken to assess the performance of each individual director. Directors are assessed based on their a‚endance at meeঞngs, contribuঞon to discussions, degree of independence expressed (for independent directors), realisaঞon of set KPIs (for the execuঞve directors) and other criteria as set out by the NC. The Board is saঞsfied with the outcome of the BEE for FY2025. This includes the performance of the respecঞve Board Commi‚ees and individual directors. Directors will be sent for training where there may be potenঞal gaps or a future requirement to acquire and apply any parঞcular competency or skill. During FY2025, the Nominaঞon Commi‚ee (NC) reviewed the appointment of two new directors - Ms. Vijayam A/P Nadarajah and Datuk Seri Kamaludin Bin Md Said - prior to their onboarding. Both candidates underwent a fit and proper assessment, and submi‚ed their declaraঞons of interest, where applicable, before their appointments were finalised. DIRECTORS’ REMUNERATION The remuneraঞon package for execuঞve directors are reviewed by the RC and recommended to the Board for approval. The Board then deliberates and decides on the said remuneraঞon package without the presence of the beneficiary director. Bonuses payable to execuঞve directors are performance based and relate to the individual and the Company’s as well as Group’s achievement of specific goals. Non-execuঞve directors do not receive any performance related remuneraঞon. In accordance with the Companies Act 2016 (“the Act”), payment of directors’ fees and benefits shall be approved at a general meeঞng. The Board shall seek shareholders’ approval at the upcoming AGM for the payment of directors’ fees and benefits for the directors of the Group for FY2025.
