Directors were assessed based on effecঞveness with key focus areas being Board Commiees’ composiঞons, roles and responsibiliঞes, ঞme commitment and contribuঞon during Board and Board Commiees’ meeঞngs. The following assessment were undertaken by the NC during the year under review:- • Directors’ evaluaঞon (self and peer assessment); • Board and Board Commiee evaluaঞon; • Mix of skills and experience of Board Matrix; • Declaraঞon of Independence; • Time commitment; • Reviewed the performance of the GEDC/GMD; and • Board’s adequacy in terms of its mix of skills, gender diversity and the core competencies. The BEE is a conঞnuous, annual exercise. Areas requiring improvements were idenঞfied and acঞon plans were recommended to the Board for approval for implementaঞon. The evaluaঞon process also involved evaluaঞng the performance of Senior and Key Management including the execuঞve directors based on individual KPIs set for senior management and the Company’s performance as a whole. The assessment undertaken by the Board are based on the criteria set for each assessment which are related to the performance of the Board, Commiees and individual directors.
