Board Diversity (Cont’d) Pursuant to the Company’s Constitution, one third (1/3) of the Directors of the Company for the time being shall retire by rotation at each AGM, and all Directors shall retire from office at least once in every 3 years but shall be eligible for re-election at the AGM. In this regard, the NC conducted assessments on Encik Mohd Erwan Bin Ahmad and Mr. Lim Chee Hwa who will retire by rotation at the forthcoming Fifth AGM of the Company in accordance with the Clause 76(3) of the Company’s Constitution. After evaluating and being satisfied with the overall performance and contributions of the retiring Directors, the NC has recommended their re-election to the Board for further recommendation to the shareholders for consideration and approval at the forthcoming Fifth AGM. In order for the Group to remain competitive, the Board ensures that the Directors continuously enhance their skills and expand their knowledge to meet the challenges of the Board.
