Sustainability Governance (Cont’d) The NC is responsible for identifying and recommending appropriate training programmes for the Board including sustainability-focused training programmes, to ensure Directors remain adequately equipped to discharge their oversight responsibilities. As part of its sustainability initiatives, the Board, through the NC, has assessed the overall effectiveness of the Board and Senior Management in managing the Company’s material sustainability risks and opportunities for FYE 2025. Based on the outcome of the performance evaluation of Directors and Key Senior Management, the Board was satisfied with the overall performance of both the Board and Key Senior Management in managing the Group’s sustainability matters. PART II: BOARD COMPOSITION 5. In addition, the Company complies with Practice 5.2 of MCCG by having at least half of the Board made up of Independent Non-Executive Directors. This composition supports effective Board oversight and promotes objective and balanced decision-making, with Independent Directors providing independent judgement and constructive challenge during Board deliberations. Details of the qualifications and experience of each Director are provided in the Profile of Board of Directors section in this Annual Report. The Board recognises the importance of diversity in terms of skills, experience, age, gender, cultural background and ethnicity is essential for fostering diverse perspectives that contribute to the Group’s sustainable growth. Currently, the Board members have diverse backgrounds and experiences in various fields.
