Subsequently, the meeting minutes are circulated to the Board in a timely basis for review and confirmation at the next meeting. To enhance the effective discharge of their responsibilities, the Company Secretary remains abreast of the latest regulatory and corporate governance developments through continuous professional training and industry updates. The Board is satisfied with the performance, competency and professionalism of the Company Secretary in discharging his duties and in providing effective support to the Board throughout the FYE 2025. 2. Board Charter The Board has adopted a Board Charter outlining the respective roles and responsibilities of the Board, Board Committees, individual Directors, as well as matters reserved for the Board, the Board’s governance and authority. The Board Charter was last reviewed by the Board on 13 November 2025 and will be reviewed regularly or as and when required to ensure it is updated in accordance with current legal requirements and to reaffirm its relevance in terms of objectives and responsibilities. Business Ethics and Integrity The Group is committed to conducting its business in a fair, transparent and ethical manner, and in compliance with all applicable laws and regulations. In support of this commitment, the Group has adopted a Code of Conduct and Business Ethics (“the Code”), which sets out the standards of behaviour expected of employees and business partners, and provides guidance on ethical business practices, to uphold exemplary standards of ethics and governance in business. The Code reflects the Group’s commitment to professionalism, honesty and integrity in all business dealings. Furthermore, the Group has adopted the Anti Bribery and Corruption Policy (“ABC Policy”) in line with the enforcement of Section 17A of the Malaysian Anti-Corruption Commission (Amendment) Act 2018. The ABC Policy underscores the Group’s zero-tolerance approach towards bribery and corruption and serves as a framework for preventing, detecting and addressing bribery and corruption risks.
