We uphold the highest standards of ethics and regulatory compliance, ensuring that transparency, accountability, and responsibility are embedded in every aspect of our operations. This commitment not only safeguards stakeholder interests but also reinforces a culture of trust and sound governance. By integrating these principles into our corporate culture and decision-making processes, we strengthen our reputation as a responsible financial institution. Our focus on ethical business practices allows us to navigate evolving challenges with confidence, fostering long-term success and responsible growth while supporting strong governance and the Group’s broader ESG goals. STRENGTHENING ETHICS AND COMPLIANCE GOVERNANCE Compliance goes beyond merely meeting regulatory requirements; it is about cultivating a culture where ethical principles guide decision-making at every level. Our commitment to ethical business conduct forms the foundation of our stakeholder relationships and drives our adherence to the highest standards of integrity, transparency, and corporate governance. To maintain a structured and effective approach to ethics and compliance, five (5) key departments within the Group Regulatory Division work in close collaboration to uphold our governance standards and regulatory expectations: The Five (5) Key Departments Group Financial Crime Compliance Oversees compliance with laws and regulations related to Anti-Money Laundering, Counter Financing of Terrorism, and Targeted Financial Sanctions. Group Prudential Supervision and Regulatory Affairs Manages regulatory engagements, provides advisory support, and ensures compliance with evolving regulatory expectations and industry best practices. Group Legal Provides legal counsel, manages legal documentation, and mitigates legal risks through advisory and strategic guidance. Group Business Ethics and Integrity Establishes and enforces frameworks, policies, and procedures that promote ethical business practices and integrity across all business and operational activities. Group Compliance Develops, implements, and ensures adherence to regulatory requirements governing Kenanga’s licensed activities as outlined in the Licensing Handbook of the Securities Commission Malaysia. Given the critical role of these functions, Group Regulatory maintains direct and independent reporting access to the Board of Directors (“the Board”), ensuring its autonomy in providing objective advice and recommendations that support the Board in making well-informed decisions. OUR ETHICAL AND COMPLIANCE COMMITMENTS • Survey on Effective Management of Ethics and Integrity in Kenanga Group The Group actively encourages employees to share their views and concerns on matters affecting the organisation, as this enables us to identify potential gaps and implement necessary preventive or corrective measures. In line with this commitment, the Survey on Ethics and Integrity Culture at Workplace (“Ethics Survey”) was introduced as a key initiative to assess and enhance our ethical framework. The Ethics Survey was conducted for the fourth time, providing employees with a structured platform to evaluate and express their perspectives on the application of ethical principles and integrity within the Group. As with previous iterations, the survey categorised employees into three (3) groups based on seniority, with tailored questionnaires addressing three (3) core values: Top Level Commitment Evaluates the visibility, communication, and actions of leadership in setting and upholding governance principles. This ensures that transparency, accountability and responsibility remain integral to the organisation’s culture. Professional Accountability Measures individual responsibility in executing tasks, making decisions, and proactively engaging in ethical and governance matters. It reflects how employees align their conduct with organisational standards while demonstrating ownership and accountability. Personal Integrity Assesses the role of honesty, ethical alignment, and personal values in shaping professional behaviour and decision-making. This stresses how individual integrity fosters trust, strengthens ethical culture, and enhances team dynamics. Employees rated various statements reflecting the Group’s commitment to accountability and ethical practices, both from an organisational standpoint and in relation to personal conduct that may impact job functions. A strong 82.41% of employees participated in the Ethics Survey, with the following response rates across job levels: JOB LEVEL PARTICIPATION RATE Senior Associate & Associate (SA & A) 80.63% Vice President & Assistant Vice President (VP & AVP) 85.47% Senior Vice President & Above (SVP & Above) 76.13% Overall 82.41%
