The Board is collectively responsible for the sustainable longterm performance, economic value and growth of the Company. Simultaneously, entrepreneurial leadership is balanced by the scrutiny and oversight of the Independent Non-Executive Directors. The Board believes that the Malaysian Code on Corporate Governance 2021 (“MCCG 2021”) provides the Company with the framework to help ensure that a strong level of governance is maintained, enabling the Company to embed the governance culture that exists within the organisation as part of building a sustainable business for all its stakeholders. We embrace therefore principles of good governance and instil a sense of responsibility in our corporate culture, focusing on accountability, integrity and ethics to drive responsible growth. This Statement gives a general overview of the activities of the Board and the Board Committees throughout the year under review/period under review and how the Board continues to pay high regard to corporate governance and internal control in all aspects of the organisation. Comprising a majority of Non-Executive Directors, the Board structure is designed to ensure there is a clear balance of responsibilities between the executive and non-executive functions. As Chairman, I am primarily responsible for setting the Group’s strategy in conjunction with the Board, and for ensuring the effective operation of the Board. The Group believes that the highest standards of corporate governance are critical for delivering consistent performance, reflective of its belief that robust governance processes and culture are fundamental to inspiring investor confidence, ensuring long-term shareholder value and protect the interest of stakeholders. As a responsible corporate citizen, the Group acknowledges the need to balance our healthy economic performance with responsible environmental and social considerations that accentuate the Group’s sustainable development practices. As we continue our sustainability journey, our ultimate aim is to deliver a sustainable performance while ensuring longterm value creation for our stakeholders. The Board will continue to focus on further improving governance practices, strengthening oversight of sustainability risks and opportunities and integrating sustainability goals with business strategy and operations as well as promoting meaningful engagement with stakeholders. The Group believes that the highest standards of corporate governance are critical for delivering consistent performance, reflective of its belief that robust governance processes and culture are fundamental to inspiring investor confidence, ensuring long-term shareholder value and protect the interest of stakeholders. In a year marked by geopolitical conflicts and instability as a top risk to the global economy, overtaking the COVID-19 pandemic as a leading threat to economic growth, good governance and consistent engagement as well as collaboration with stakeholders, have never been more important. As economies pursue with their rebuilding efforts and the world transforms into the new normal, I am confident that we can forge ahead towards a sustainable tomorrow and meet the demands of a significantly changed world. In the year ahead, the Board will continue to provide guidance to the Group focusing on resilience and agility, strengthen collaboration with Management and build on improved governance practices and processes that we have in place. I am pleased to report that DNeX has complied with the relevant provisions of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Corporate Governance Guide – 3rd Edition issued by Bursa Securities and the Companies Act 2016. The status and the Company’s application of the Practices of the MCCG 2021 are explained in the Corporate Governance Report which is available to the public on the Company’s corporate website at www. dnex.com.my.
