GOVERNANCE CORPORATE GOVERNANCE OVERVIEW STATEMENT The Directors have demonstrated their ability to devote sufficient time and commitment to their roles and responsibilities as Directors of the Company. The Board is satisfied with the level of time and commitment given by the Directors of the Company towards fulfilling their duties and responsibilities. Board Meetings The Board held four (4) meetings during the financial year ended 30 June 2025. The details of Directors’ attendances are set out below: The Board is satisfied with the level of time commitment given by the Directors of the Company towards fulfilling their duties and responsibilities. This is evidenced by the attendance record of the Directors as set out herein above. The Board meets on a quarterly basis, with amongst others, review the operations, financial performance, reports from the various Board Committees and other significant matters of the Group. Where any direction or decisions are required expeditiously or urgently from the Board between the regular meetings, special Board meetings maybe convened by the Company Secretaries, after consultation with the Chairman. Additionally, in between Board meetings, the Directors also approved various matters requiring the sanction of the Board by way of circular resolutions. Continuing Education Programs All Directors appointed to the Board have attended the Mandatory Accreditation Program (“MAP”) as prescribed by Bursa Securities. The Board acknowledges that continuous training is essential in keeping the Directors abreast with changes in law and regulations, business environment and corporate governance developments, besides enhancing professionalism and knowledge in enabling them to discharge their duties more effectively. Although the Board does not have a policy requiring each Director to attend a specific number and types of training sessions each year, the Directors are encouraged to evaluate their own training needs on a continuous process and determine the relevant programs / seminar / conferences that would enhance their knowledge to enable the Directors to discharge their responsibility more effectively. The Board has undertaken an assessment of the training needs of each of each Director and ensured that all the Directors undergo the necessary training program to enable them to effectively discharge their duties.
