GOOD GOVERNANCE AND CONDUCT Corporate governance and business ethics are key in maintaining the integrity of our financial systems. By adhering to robust corporate governance standards, we encourage transparency and foster trust amongst stakeholders, thereby safeguarding our financial stability and reputation. Our guiding principles, encapsulated in the TAAT values (Think Customer; Act with Integrity; Advance Beyond and Take Charge), underpin our ethical conduct, enabling us to fulfil our commitment to stakeholders by "Assuring Trust. Delivering Value." The Overall Approach We prioritise good governance and ethical conduct, leveraging a comprehensive framework that includes policies, methodologies, tools, and processes. This approach enables us to effectively manage risks, capitalise on opportunities, and adhere to our commitment to stakeholders. Our focus on sustainability and ethical financial practices ensures we can navigate the complexities of the global landscape with integrity. Group Corruption Risk Management Policy (GCRMP) The Group Corruption Risk Management Policy (GCRMP) promotes a proactive stance in identifying and mitigating corruption risks. It engages all employees in detecting risks and formulating preventive strategies, integrating these efforts within our governance framework. This policy strengthens our commitment to preventing corruption and fostering an ethical business environment. Group Whistleblowing Policy (GWBP) Our Group Whistleblowing Policy (GWBP) offers a channel for reporting alleged illegal, unethical, or questionable practices, as well as improper conduct that has occurred or is about to occur. This policy reflects our dedication to the highest standards of ethics, integrity, and legal compliance. By promoting transparency and accountability, and by adhering to Shariah values, we foster an environment where individuals are encouraged to address misconduct. The GWBP is designed to encourage employees to voice their concerns without fear, facilitate the early detection of illegal and unethical behaviour, foster a culture of accountability, and support openness. Group Anti-Bribery and Corruption Policy (GABCP) Our Group Anti-Bribery and Corruption Policy (GABCP) embodies our zero-tolerance approach to all forms of bribery and corruption. This policy mandates that all directors, employees, and third parties representing the Group uphold our reputation by conducting business with integrity and prohibiting any exchanges of value intended to improperly influence business or personal gain, unless explicitly permitted. The GABCP underscores our commitment to ethical practices across all levels of the organisation and ensures that any instances of bribery and corruption are addressed effectively and efficiently, in compliance with all relevant anti-corruption regulations. Group Gift Policy (GGP) The Group Gift Policy (GGP) provides guidance for all employees within the Group on the acceptance and offering of gifts. It delineates which gifts may be appropriately received or given from/to third parties, upholding the highest standards of ethics and integrity. The GGP specifies the conditions under which gifts are permissible and identifies gifts that are not allowed. It emphasises that employees may accept permissible gifts, provided these gifts do not compromise their position or jeopardise relationships with third parties if refused. Group Business Associates Code of Conduct Guideline (GBACOC) The Group Business Associates Code of Conduct Guideline (GBACOC) outlines the principles and levels of behaviour expected from the business associates whom provide goods and services to the Group. This guideline underscores the Group's commitment to uphold integrity in our business transactions with all associates, while also advancing accountability, transparency, and sustainability as part of our mission to combat and eradicate corruption.
