Bank Islam Integrated Annual Report 2020

CORPORATE GOVERNANCE FRAMEWORK Good governance practices are integrated across the Bank. Our Corporate Governance Framework is designed based on the principles of: • accentuating greater transparency, accountability and responsibility. • balancing the autonomy of various operating entities within the Bank with the appropriate checks and balances. • inculcating ethical business conduct and desired behaviours based on our core values. The Board is accountable to the shareholder in creating and delivering sustainable value through oversight of the management of the Group’s business approving strategic plans monitoring their implementation and providing the necessary support for their successful execution. The Board discharges its responsibilities within a clearly defined governance framework and robust mechanisms in place. Through this framework, the Board, without abdicating its responsibilities, delegates its governance responsibilities to key Committees of the Board and other Management committees. Effective operation of the Board relies on the clarity of the various roles and responsibilities. There is a clear division of responsibilities between the leadership of the Board and the executive leadership of the Bank’s business. In executing its governance responsibility, the Board has embraced the following best governance practices: • 9Ɂƃɨǁ :ȃƃɨɽljɨ ɽȃƃɽ ɰljɽɰ Ɂʍɽ ɽȃlj ɨɁȢljɰ Ɂǹ ɽȃlj :ȃƃȈɨȴƃȶӗ :ȃȈljǹ KʯljƺʍɽȈʤlj ÝǹǹȈƺljɨӗ ƃȶǁ ÇɁȶӸKʯljƺʍɽȈʤlj AȈɨljƺɽɁɨɰ ӯÇKAɰӰӝ • 9Ɂƃɨǁ :ȃƃɨɽljɨ ɽȃƃɽ ɰljɽɰ Ɂʍɽ ɽȃlj ɥɨȈȶƺȈɥȢljɰ Ɂȶ ɽȃlj :Ɂǁlj Ɂǹ KɽȃȈƺɰӗ :ɁȶǹȢȈƺɽɰ Ɂǹ Žȶɽljɨljɰɽӗ KʯɽljɨȶƃȢ ĀɨɁǹljɰɰȈɁȶƃȢ :ɁȴȴȈɽȴljȶɽ ƃȶǁ ŚȃȈɰɽȢljӸƹȢɁʥȈȶǼ ĀɁȢȈƺʰӝ • ĀɁɰȈɽȈɁȶɰ Ɂǹ ɽȃlj :ȃƃȈɨȴƃȶ ƃȶǁ ɽȃlj :ȃȈljǹ KʯljƺʍɽȈʤlj ÝǹǹȈƺljɨ ƃɨlj ȃljȢǁ ƹʰ ɽʥɁ ӯѵӰ ǁȈǹǹljɨljȶɽ ȈȶǁȈʤȈǁʍƃȢɰӝ • ǹɁɨȴƃȢ ƃȶǁ ɽɨƃȶɰɥƃɨljȶɽ ɥɨɁƺljɰɰ ǹɁɨ ɽȃlj ƃɥɥɁȈȶɽȴljȶɽ Ɂǹ ȶljʥ AȈɨljƺɽɁɨɰ ƃȶǁ ɨljӸƃɥɥɁȈȶɽȴljȶɽ Ɂǹ AȈɨljƺɽɁɨɰӝ • ȶȶʍƃȢ Žȶǁljɥljȶǁljȶɽ AȈɨljƺɽɁɨɰԇ ĄljʤȈljʥ ɽɁ ƃɥɥɨƃȈɰlj Ȉȶǁljɥljȶǁljȶƺlj Ɂǹ Žȶǁljɥljȶǁljȶɽ ÇKAɰӝ The table below illustrates the Group’s governance structure on overview of the key Board Committees and Management Executive Committees.
