1. Introduction

GHL Systems Berhad (“GHL”), a leading player in the payment space in the ASEAN region, wishes to announce that its wholly owned subsidiary, GHL CardPay Sdn Bhd (“GHL CardPay”), has entered into an agreement with Visa Worldwide Pte. Limited that will enable GHL to offer electronic payment services and VISA card acceptance in Malaysia.

2. Financial effects

The agreement will not have any effect on the share capital and shareholding structure of the Company but is expected to contribute positively to the earnings of the Company and enhance net assets per share of the group for the financial year ending 31 December 2019 and going forward.

3. Directors’ and Major Shareholders’ Interests

None of the Directors and/or major shareholders and/or persons connected with the Directors and/or major shareholders of GHL has any direct or indirect interest in the Contract.

4. Directors’ Statement

The Board of Directors of the Company is of the opinion that the signing of this agreement is in the best interest of the Company.
