This announcement is dated 18 June 2018.

Reference is made to the Company’s announcement dated 7 November 2017 and 12 February 2018 in relation to the Proposed Acquisitions (“Earlier Announcements”). Unless otherwise stated, defined terms and conversion of foreign exchange used in this announcement shall carry the same meanings and conversion price as defined in the Earlier Announcements.

The Board of GHL wishes to announce that GHL had resolved to subscribe for 6.1% equity interest in MPOS instead of 31.16% as per the Revised SSA after taking into consideration, among others, the non-fulfilment of conditions precedent of the MPOS Vietnam SPA including regulatory requirements, MPOS’s capital requirements and business environment in Vietnam. In relation thereto, GHL and MPOS had on 18 June 2018 executed a Share Subscription Form for GHL to subscribe for 326,797 new ordinary shares of MPOS (representing 6.1% of the total paid-up shares of MPOS) at the price of USD1.53 per MPOS share on the same basis as the Revised SSA. The aforementioned 6.1% equity interest in MPOS had been settled via the USD500,000 deposit paid for the Proposed Acquisition.

For information, the parties to the MPOS Vietnam SPA had vide an exchange of letter dated 18 June 2018 agreed to extend the MPOS Vietnam Closing date for a further 6 months from 15 June 2018 to 14 December 2018.

Accordingly, the Proposed Acquisition has been completed with GHL having 6.1% equity interest in MPOS.
