Pursuant to Paragraph 9.19(5) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of GHL wishes to announce that the Company had on 10 July 2017 acquired 1,080,012 shares, representing 100% of total number of issued shares of e-pay (M) Sdn. Bhd. (“EPM”) from EPY Capital Holdings Limited, a wholly-owned subsidiary of the Company for a total consideration of RM6 (“the Acquisition”). Subsequent to the Acquisition, EPM became a direct wholly-owned subsidiary of GHL.

EPM was incorporated in Malaysia on 18 September 1999 with share capital and number of issued shares which is represented by 1,080,012 ordinary shares, equivalent to RM1,080,012.00. The principal activities of EPM are sales and solution provision of vouchers bearing prepaid airtime personal identification numbers (PINS) and on-line top-ups for various prepaid services in Malaysia and investment holding.

The Acquisition will not have any material effect on the share capital, shareholding structure, gearing, net assets per share and earnings per share of GHL group.

Save for Mr Loh Wee Hian and Mr Leong Kah Chern who are the Directors of EPM, who are also the Executive Vice Chairman and Group Chief Executive Officer of GHL respectively, none of the other directors and/or major shareholders of GHL or persons connected to the directors and/or major shareholders of GHL have any interest, direct or indirect in the Acquisition. Having considered the rationale and the effects of the Acquisition, the Board of Directors of GHL is of the opinion that the Acquisition is in the best interest of the Company.
