Code of Conduct The Directors, officers and employees of the Group are required to observe the Company’s Corporate Code of Conduct. The core areas of conduct under the Code of Conduct include the following:- (a) conflicts of interest; (b) confidential information; (c) fair dealing; (d) company assets and property; (e) knowledge and information; (f) fighting corruption and unethical practices; (g) employment practices; and (h) reporting of illegal and/or unethical behavior. The Board will review the Code of Conduct regularly to ensure that it continues to remain relevant and appropriate. The last review of the Code of Conduct was on 29 November 2021. In addition, the Company has developed an Anti-Bribery and Corruption Policy (“ABC Policy”) to set out the responsibilities of the Group to comply with laws against bribery and corruption and provide guidance to the Directors, employees and business associates on standard of behaviour to which they must adhere to and how to recognise and deal with bribery and corruption issues, to ensure that the Group’s business is conducted in an ethical manner with integrity and honesty. The effectiveness of the ABC Policy will be reviewed periodically by the Board, and in any event, at least once in every 3 years. The Code of Conduct and ABC Policy are made available for reference in the Company’s website at http://www.kimlun.com. Whistleblowing Policy The Board is committed to achieving and maintaining the highest standards of integrity, openness, probity and accountability in the conduct of its businesses and operations. It aspires to conduct its affairs in an ethical, responsible and transparent manner. Whistle blowing is a specific means by which an individual, whether employee or otherwise, can report or disclose through established channels, concerns about unethical behavior, malpractices, illegal acts or failure to comply with regulatory requirements that is taking place / has taken place / may take place in the future, without fear of reprisal or victimization, in a responsible and effective manner. The Policy addresses the following areas: • Policy Statement; • Scope of Policy; • Reporting Procedure; • Investigation Procedure; • Protection and Confidentiality; and • Acknowledgement and Recognition. The Policy also provides the contact details of the Chairperson of AC, should the reporting individual is in doubt of the Management’s independence and objectivity on the concerns raised.
