SUSTAINABILITY GOVERNANCE Corporate Governance Sustainability is embedded in our organisational approach and is led from the top. The Board plays a vital guidance and oversight role in advancing sustainability across the organisation with the assistance from the Senior Management to oversee the implementation of the organisation’s sustainability approach and ensures that key targets are being met. The Board also acknowledges that risk management and internal control are integral to our corporate governance and that it is responsible for establishing a sound risk management framework and internal control system as well as to ensure their adequacy and effectiveness. The review of the adequacy and effectiveness of the risk management framework and the system of internal control is delegated by the Board to the Risk Management Committee. The Group’s performance is also tracked with the assistance of the Nomination and Remuneration Committee. Sustainability Report The responsibility of the Board to promote and embed sustainability in the Group includes overseeing the following: • Stakeholders engagement. • Materiality assessment and identification of sustainability risks and opportunities relevant to us. • Management of material sustainability risks and opportunities. Ethical Business Practices The Board recognise the importance of ethical business conduct across the operations to maintain our stakeholders’ trust. Our businesses are conducted with integrity through good governance as mentioned by the Code of Ethics and Conduct. Our Whistle Blowing Policy, uploaded on our website, provides all stakeholders a direct channel for reporting instances of misconduct that contradict to our Code of Ethics and Conduct and/or other non-compliance offences. Good governance is the bedrock of our business, led by ethical business practices and integrity. We have embedded the highest standards of governance in our business not only by complying with the law but through processes and directives that continue to reinforce the principles. Oversees the Group’s sustainability initiatives, and endorses the proposed sustainability initiatives and material sustainability matters related to the Group Audit Committee Nomination and Remuneration Committee Risk Management Committee • Reviews the Company’s processes for produces timely and accurate financial data, and internal controls as well as oversees all risk management activities • Oversees matters related to proposing suitable new candidates for appointment to fill the seats of Board Members and Senior Management. • Assists the Board in developing and establishing competitive remuneration policies and packages. • Assists the Board in overseeing all risk management activities within the Group and review the efficiency and effectiveness of the internal controls within the Group.
