NOTICE IS HEREBY GIVEN THAT the Seventeenth (17th) Annual General Meeting (“AGM”) of Destini Berhad (“Destini” or “the Company”) will be conducted on a fully virtual basis through live streaming and Remote Participation and Voting (“RPV”) Facilities from the broadcast venue at Tricor Business Centre, Manuka 2 & 3 Meeting Room, Unit 29-01, Level 29, Tower A, Vertical Business Suite, Avenue 3, Bangsar South, No. 8, Jalan Kerinchi, 59200 Kuala Lumpur on Tuesday, 29 June 2021, at 10.00 a.m. or any adjournment thereof for the purpose of transacting the following businesses: AGENDA 1. To receive the Audited Financial Statements for the financial year ended 31 December 2020 together with the Reports of the Directors and Auditors thereon. (Please refer to Explanatory Note 1) 2. To re-elect the following Directors who are retiring pursuant to Clause 115(1) of the Company’s Constitution and being eligible, have offered themselves for re-election:- i. Tan Sri Dato’ Sri Rodzali Bin Daud ii. Professor Datin Dr Suzana Binti Sulaiman @ Mohd Suleiman (Ordinary Resolution 1) (Ordinary Resolution 2) 3. To re-elect the following Directors who are retiring pursuant to Clause 125 of the Company’s Constitution and being eligible, have offered themselves for re-election:- i. Dato’ Mohd Zahir Bin Zahur Hussain ii. Syaiful Hafiz Bin Moamat Mastam iii. Norzilah Binti Mohammed (Ordinary Resolution 3) (Ordinary Resolution 4) (Ordinary Resolution 5) 4. To approve the payment of Directors’ fees of up to RM200,000.00 for the financial year ending 31 December 2021 to be divided amongst the Directors in such manner as the Directors may determine and other benefits payable of up to RM200,000.00 for the period commencing from the conclusion of the 17th AGM until the conclusion of the next Annual General Meeting of the Company. (Ordinary Resolution 6) 5. To re-appoint Messrs UHY as Auditors of the Company until the conclusion of the next Annual General Meeting and to authorise the Directors to fix their remuneration. As Special Business: To consider and, if thought fit, to pass the following resolutions: (Ordinary Resolution 7) 6. Authority to Allot Shares Pursuant to Sections 75 and 76 of the Companies Act 2016 “THAT pursuant to Sections 75 and 76 of the Companies Act, 2016 (“the Act”), Additional Temporary Relief Measures to Listed Corporations for COVID-19, issued by Bursa Malaysia Securities Berhad (“Bursa Securities”) on 16 April 2020 and subject to the approvals of the relevant governmental/ regulatory authorities, the Directors be and are hereby empowered to issue shares in the capital of the Company from time to time and upon such terms and conditions and for such purposes as the Directors, may in their absolute discretion deemfit, provided that the aggregate number of shares issued pursuant to this resolution does not exceed 20% of the issued share capital of the Company for the time being (“20% General Mandate”) and that the Directors be and are hereby also empowered to obtain approval from the Bursa Securities for the listing and quotation of the additional shares so issued. AND THAT such authority shall commence immediately upon the passing of this resolution and continue to be in force until 31 December 2021, as empowered by Bursa Securities pursuant to its letter dated 16 April 2020 to grant additional temporary relief measures to listed corporations, notwithstanding Section 76(3) of the Act, duly varied and adopted by the Directors of the Company pursuant to Section 76(4) of the Act.” (Ordinary Resolution 8) Notice of Seventeenth Annual General Meeting ANNUAL REPORT 2020 DESTINI BERHAD 202
